TERMS OF SERVICE

Thank you for using Certi!

 

Any participation in our Services or Products will constitute acceptance of these terms. If you do not agree to these terms, do not use the Certi website or our Services and Products.

Definitions

“Services” means Certi’s software platform, website, and related offerings.

“Products” means templates, resources, tools, reports, and documentation made available through the Services.

“User” means any individual authorized to access the Services.

“Organization” or “Facility” means the business entity subscribing to the Services.

Services and Products

​

Certi does not provide legal, regulatory, safety, occupational health, human resources, medical, or other professional advice. The Services and Products are provided solely as a general information and documentation resource. Use of the Services or Products does not create any advisory, consulting, fiduciary, or professional relationship between Certi and any organization, facility, or user.

​

Organizations and users are solely responsible for obtaining independent professional advice and for understanding and complying with all applicable laws, regulations, standards, and guidelines.

Any reliance on the Services, Products, Resources, Templates, reports, logs, attestations, or outputs generated through the Certi platform is solely at the user’s and organization’s own risk.

Certi shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, power failures, internet or cloud service provider failures, cyber incidents, labor disputes, governmental actions, war, terrorism, or failures of third-party vendors or hosting providers.

Using our Services does not give you ownership of any intellectual property rights in our Services or the content you access. These terms do not grant you permission to use, alter, remove, or obscure any of our products, logos, or content. Our Services and Products may display content and documents that are not created or generated by Certi. This content is the sole responsibility of the entity that created it. We do not review all content, and we are not responsible for the accuracy of the information.

Our Services and Products are to be used as a resource to help meet safety and communication standards and regulations. However, each industry and job function must follow different standards, regulations, and guidelines. Therefore, we cannot and do not guarantee that your business will be compliant with the use of our Services or Products. Compliance to any standard, regulation, or guideline is the sole responsibility of the user.

Certi is not the employer, operator, supervisor, safety officer, compliance officer, or manager of record for any organization or facility. All employment, safety, training, supervision, operational, and compliance decisions remain solely the responsibility of the organization or facility using the Services or Products.

Certi does not guarantee that records, reports, attestations, or documentation generated through the Services or Products will be accepted by any regulator, auditor, accrediting body, or third party.

Each organization and facility represents and warrants that all employee information utilized for Certi Products and Services has been obtained lawfully and without coercion.

Use of the Certi platform constitutes your acceptance and consent to utilize electronic signatures within the platform. There is only one authorized user per login and account. Therefore, the documents, logs, attestation statements, and tests are to be approved by the individual user only. Each user certifies that no other individual will be given access to their account or permission to complete any test, attestation statement, or confirmation within. Keep your Certi Account password confidential. The user is responsible for any and all activity that happens through your Account. Notify Certi immediately if you learn of unauthorized use of your Account. Certi may rely on any actions taken through an account as authorized by the account holder unless Certi has received prior notice of unauthorized access.

Certi Services, Products, Resources, and Templates are offered for informational purposes only; Certi shall not be responsible or liable for the accuracy, usefulness or availability of any information transmitted or made available via the Service or Product, and shall not be responsible or liable for any errors or omissions in that information.

Certi Services and Products might have reference links to other websites or resources. Certi has no control over them, and therefore cannot assume responsibility for the content or general practices of any third-party site or service.

​

Certi Services and Products are available on desktop and mobile devices, Certi and its respective officers, directors, employees, agents, control persons and affiliates are not responsible for the use in such a way that distracts or prevents the obeying of safety laws and guidelines.

​

You may not copy, modify, distribute, sell, lease, or share any part of Certi Services or Products.

Each organization, facility, and user agrees, individually, to indemnify and hold harmless Certi and its respective officers, directors, employees, agents, control persons and affiliates from and against all losses, liabilities, claims, suits, actions, damages, costs, fees and expenses whatsoever (including, but not limited to, reasonable attorneys’ fees and disbursements, and any and all expenses incurred in investigating, preparing or defending against any litigation commenced or threatened) based upon, arising, or related to the use of the Services or Products, or any actual or alleged false acknowledgment, representation or warranty, or misrepresentation or omission to state a material fact, or breach by the business or user of any covenant or agreement made by the business or user herein or in any other document delivered in connection with these terms. Certi and its affiliates are not liable for any damages or injury that is the result of accessing (or not accessing) the Service or Product or from services provided by Certi. Certi shall not be liable for any direct, indirect, incidental, special or consequential damages arising from the use of its products or services.

All content within Certi Services and Products are only to be used by an active paying customer. If you choose to end your use of Certi Services or Products, you also agree to end using Certi Products and Services. Subscription fees are billed in advance. Refunds, if any, are issued at Certi’s sole discretion and, if approved, may be prorated based on the unused portion of the applicable subscription term. Access to Services and Products may be terminated at any time upon cancellation or non-payment.

Certi does not make any claim, promise or guarantee about: the accuracy of the content within the Service or Products, the specific functionalities of the Service or Products, the reliability of the Service or Products, the availability of the Service or Products, or the ability that the Service or Products will satisfy your needs. Certi excludes all warranties, and to the maximum extent permitted by law, Certi’s total aggregate liability arising out of or related to the Services or Products shall not exceed the total fees paid by the customer to Certi in the twelve (12) months immediately preceding the event giving rise to the claim. The Services or Products are provided “AS-IS” and must be altered to fit each client organization’s needs. Certi will not be responsible for any lost profits, financials, data, or any type of damages.

Each client organization and facility has the sole responsibility of ensuring that all material Safety Data Sheets needed for their facility are provided and selected on their account. Organizations and facilities using a Certi Service or Product also have the sole responsibility of ensuring that the material Safety Data Sheets are the most current available. If a new Safety Data Sheet is provided from a manufacturer, the organization and facility are responsible for informing Certi of the change and to provide the material Safety Data Sheet for use.

Each organization, facility, and user authorize Certi to search and compare the HHS Office of Inspector General (OIG), General Services Administration (GSA), State Exclusion, or other similar resource lists of individuals and entities excluded from participating in United States government funded programs against the list of employees provided on the platform. All exclusion lists will be compared based on the information provided by the organization. Certi makes no effort and has no obligation to verify the accuracy of employee information. Certi makes no effort and has no obligation to verify the accuracy of OIG, GSA, and other exclusion lists. Certi could report a partial or exact match, it is the sole responsibility of the organization to investigate and determine if the match accurately identifies their employee. Each list used for comparison will be used as provided by the reporting agency.

Certi does not make employment, credentialing, eligibility, hiring, termination, or disciplinary decisions. Exclusion screening services are provided solely as a documentation and administrative aid. The organization retains full responsibility for investigating, verifying, and determining employee eligibility and compliance with all applicable laws and regulations.

Exclusion screening services provided by Certi do not constitute a background check, investigative service, or employment screening under applicable law.

​

Certi will not search historical records, each report will utilize the available employee and reporting agency documentation for the period when the search was completed. If Certi does not report a match from an exclusion list, the findings are not conclusive that an employee is eligible to be employed by the organization based on governmental regulations. Certi and its affiliates make no representations, warranties, guarantees or assurances to the accuracy of the exclusion service or the reporting information provided. It is the sole responsibility of the client organization to investigate and determine employee eligibility.

 

Certi provides this service to help facilitate compliance documentation in an effort to help client organizations attest in good faith to regulatory entities that efforts are conducted to ensure employees are eligible to work for the organization.

Certi does not guarantee the retention, archival, accuracy, completeness, or availability of any data, records, documents, logs, attestations, or reports beyond the active subscription period. Upon termination or expiration of access, Certi may delete or restrict access to data in accordance with its internal data retention policies. Organizations are solely responsible for maintaining independent copies of all records required for regulatory, legal, or operational purposes. Certi does not guarantee that any data or records will satisfy audit, inspection, or regulatory recordkeeping requirements.

As between Certi and the client organization, the client organization retains all right, title, and interest in data, records, and content submitted to or generated within the Certi platform. Certi acquires no ownership rights in such data.

​

Certi utilizes Microsoft viewer software for any files that are uploaded using Microsoft software and file type. It is the user’s responsibility to read, understand and accept the Microsoft terms of service and privacy policy (They can be found here: https://privacy.microsoft.com/en-us/privacystatement). Users can instead choose to upload .pdf format files and Microsoft software will not be utilized.

Certi uses third-party payment processors, including Stripe, Inc., to process subscription fees and other payments. Payment information is collected and processed directly by the payment processor and is subject to the processor’s terms and privacy policies. Certi does not store full payment card numbers or sensitive payment authentication data and receives only limited information necessary to manage billing and customer support.

​

As each user has diverse requirements, Certi has the right to restrict uploads on a case-by-case basis.

​

Our Products and Services are not designed for the storage or processing of sensitive personal information, including but not limited to protected health information (PHI), medical records, Social Security numbers, banking information, or payment card data. You agree not to upload, supply, or store such information on any Certi Service or Product.

​

While Certi employs commercially reasonable measures to protect the security of its systems, Certi does not guarantee that the Services or Products will be secure, error-free, uninterrupted, or free from unauthorized access, data loss, or cyber incidents. Certi shall not be liable for unauthorized access, data breaches, or loss of data except to the extent required by applicable law.

All electronic records, logs, attestations, acknowledgments, and confirmations generated within the Certi platform shall be deemed electronically signed and attributable to the authorized user associated with the account. Such records may be relied upon by Certi and shall be admissible to the fullest extent permitted by law. Certi is not responsible for misuse of credentials or unauthorized account access resulting from a user’s failure to safeguard login information.

The Certi platform pricing is for one (1) facility unless otherwise specified. You must disclose the use of multiple facilities and submit payment accordingly. Additionally, if an individual facility employs in excess of 100 personnel or your organization employs in excess of 200 total personnel, you must disclose this and submit payment accordingly.

​

Certi makes commercially reasonable efforts to keep our products and services up and running.  However, from time to time there may be an outage or service disruption.  Certi is not liable for disruption or losses from disruption you may suffer as a result of an outage or disruption.

You represent and warrant that you are not located in, under the control of, or a national or resident of any country or entity subject to United States embargoes, sanctions, or export restrictions, and that you are not listed on any U.S. government restricted or prohibited party list. You agree not to use the Services or Products in violation of applicable export control or sanctions laws.

You may not assign or transfer these Terms or your rights or obligations without the prior written consent of Certi. Certi may assign these Terms without restriction in connection with a merger, acquisition, corporate reorganization, or sale of assets.

​

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

​

No failure or delay by Certi in exercising any right under these Terms shall constitute a waiver of that right.

​

Provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, governing law, venue, and any obligations that by their nature should survive termination shall survive termination or expiration of these Terms. This indemnification obligation shall apply to the fullest extent permitted by applicable law.

​

Certi is always working to improve our Services and Products. Therefore, Certi may add or remove functionalities at any time. Certi reserves the right to modify these terms at any time. We ask that you check and review these terms on an occasional basis. Your continued use of any Services or Products will constitute your acceptance of such change.

​

You consent to all claims arising from these terms, services, or products to be litigated and completed in Lawrence County, AL, USA.
